Integer Holdings Corporation Privacy Policy

INTRODUCTION

In this policy, “Integer” refers to Integer Holdings Corporation, a Delaware corporation having an address of  5830 Granite Pkwy #1150, Plano, Texas 75024, and all affiliates thereof. This policy applies to www.integer.net. (the “Website”).

Integer recognizes that privacy is important and is committed to safeguarding personal information or other similar information (as defined in any applicable privacy or data security law) provided to Integer by you or on your behalf (including, but not limited to, all clients and vendors of Integer and visitors to the Website) from which, either alone or together with other readily-assessable information, an individual or household can be identified. This policy does not, however, cover any personal information relating to employees of Integer.

Integer’s Website is a business-to-business (“B2B”) application and is directed exclusively at customers purchasing goods in connection with their business operations for commercial purposes. This Website is not intended for direct consumers. As a result, we treat all personal information (as defined herein) covered by this policy, including information about visitors to our website, as pertaining to individuals acting in their capacity as business representatives, rather than in their personal capacity.  However, if during the course of providing services we receive: (1) consumer personal information; or (2) B2B data treated as personal information under relevant laws, including the California Consumer Privacy Act, this Privacy Policy describes how we process such information.

To the extent that any personal information is collected by Integer, it will be amended, collected, protected, transferred and used in accordance with any Data Protection Law. In this policy, a “Data Protection Law” means any applicable privacy and data security law relating to the processing of personal information (or other similar information) as the same may be re-enacted, applied, amended, superseded, repealed or consolidated (including, but not limited to, the California Consumer Privacy Act, as amended and supplemented by the California Privacy Rights Act, (the “California Laws”), the UK Data Protection Act 1998, the General Data Protection Regulation (EU) 2016/679, and the Privacy and Electronic Communications (EC Directive) Regulations 2003, in each case including any legally-binding court decisions or regulations, directions and orders issued from time to time under, or in connection with, any such law.

You should review this policy carefully, and be sure you understand it, prior to using the Website or otherwise providing any personal information to Integer. Your use of the Website, your providing any information to Integer, or any other indication of your assent is deemed to be acceptance by you of this policy.  If you do not agree to this policy, you should not use or provide personal information to Integer, and should immediately terminate your use of the Website.  For purposes of this policy, accessing the Website only to review this policy is not deemed to be use of the Website.

COLLECTED INFORMATION

In this policy, “personal information” means any information relating to an identified or identifiable individual, or as otherwise defined under any Data Protection Law, and collected by Integer in the ordinary course of its business. Personal information, including categories of personal information, collected by Integer from residents of California is described in the California Privacy Disclosures located on the Website. 

When you visit the Website, Integer may automatically collect your personal information. Without limiting the generality of the preceding sentence, Integer may automatically collect your Internet protocol address, your browser type and version, time zone setting, operating system, information regarding your visit (such as your  Uniform Resource Locators,  date and time of browsing, response times, and length of visits to certain pages.

Integer may collect your personal information from third parties (including, but not limited to, business partners, clients, sub-contractors and vendors).  In these cases, the third party may be responsible for obtaining any required consents from you.

COOKIES

When you visit the Website, Integer (or a third party acting on its behalf) may send one or more cookies (small file containing a string of characters) to your computer that uniquely identifies your browser. When you access the Website, you will be notified of our use of cookies and you will be provided with instructions on how to prevent your browser from accepting cookies. Most browsers are initially configured to accept cookies, but your browser can be configured to refuse all cookies or to indicate when a cookie is sent. If you refuse, or delete previously-existing cookies, you may not be able to access, or receive certain features of, the Website.

We use information held about you for the following business or commercial purposes:

    • To perform statistical analyses of user behavior in order to measure relative consumer interest in the various areas of the Website (for service development purposes) and for internal operations, including troubleshooting, testing, research and other statistical analysis;
    • To improve our Website to ensure that content is presented in the most effective manner for you and for your computer;
    • As part of our efforts to keep our Website safe and secure; and
    • To improve the quality of our search technology, and customized content.

    • To notify you about changes to our service;
    • To ensure that content from our Website is presented in the most effective manner for you and for your computer;
    • To enable your use of the services available on the Website; and in order to process your inquiries, and respond to any requests made by you or about you relating to the Website.

  • Information we receive from other sources: We may combine this information with information you give to Integer and information we collect about you. We may use this information and the combined information for the purposes set out above (depending on the types of information we receive).

ELECTRONIC COMMUNICATIONS

Whether or not you have previously sent Integer an e-mail message, you consent to Integer sending you e-mail messages and other electronic communications (a) in connection with your use of the Website, or (b) for any other legitimate business purpose of Integer (including, but not limited to, marketing).  Since Integer endeavors to send e-mail messages and other electronic communications only to individuals desiring to receive them, you can unsubscribe to such e-mail messages or other electronic communications at any time by contacting Integer as set forth in as set forth in this policy or by following any directions contained in such e-mail messages or other electronic communications.

INFORMATION DISCLOSURE

When it is commercially reasonably for the performance of Integer’s contract with you or for Integer’s internal business purposes, Integer may share your personal information with certain third parties.  By submitting your personal information to Integer, you acknowledge that such third parties may receive and process your personal information.  Integer will require that such third parties treat your personal Information in accordance with this policy, contracts to which Integer is a party and any applicable Data Protection Law.  

Integer may also disclose your personal information to law enforcement or other government agency to comply with any legal obligation (such as anti-money laundering or anti-terrorist financing obligations), assist such government agency in investigating any illegal conduct, or enforce or exercise Integer’s rights and remedies under any applicable law or contractual obligation, or protect any right or remedy of a third party.

In addition, if Integer sells or otherwise transfers all, or substantially all, of its assets to a third party, whether in one transaction or a series of transactions, it may disclose your personal information to a purchaser or other third party.  Integer will not be responsible for a third party’s handling of your personal information after a disclosure thereof pursuant to this paragraph.

In the unlikely event that Integer collects any Sensitive Information (as defined in the California Laws or any Data Protection Law enacted by the European Union or the United Kingdom), your explicit consent (i.e. among other things, you must “opt-in”) will be obtained before such Sensitive Information is disclosed to a third party or used for a purpose other than the purpose for which such Sensitive Information was initially collected.

CERTAIN INTERNATIONAL TRANSFERS

If you are in the European Economic Area (“EEA”), any personal information that Integer collects from you may be transferred to a third party (including, but not limited to, clients, sub-contractors, suppliers and vendors) outside the EEA. Integer will process any such personal information to comply with each Data Protection Law. 

By submitting your personal data, you are acknowledging this transfer, storing or processing. We will take all steps reasonably necessary to ensure that your information is treated securely and in accordance with this Privacy Policy and the Data Protection Law. Integer will only transfer such personal information to third parties in locations that (a) have been confirmed by the European Commission to provide adequate protection to personal information or (b) have agreed to provide all protections to your personal information as set forth in any Data Protection Law.

INFORMATION SECURITY

Integer uses commercially reasonable measures to protect personal information from loss, theft or unauthorized access, disclosure, modification or use.  Without limiting the generality of the preceding sentence, Integer will only retain your personal information for as long as Integer reasonably requires it for the purposes for which it is provided to Integer or Integer has a legal basis or legitimate business purpose to retain such personal information.  Since the transmission of information via the internet is not completely secure and, even though Integer will take commercially reasonable measures to protect your personal information, it cannot guaranty the security of your personal information transmitted via the internet.  You must, therefore, assume the risk that your personal information could be accessed without authorization.

YOUR RIGHTS

Upon your making a request of Integer, and solely to the extent required by any Data Protection Law, Integer will (1) grant you access to your personal information, (2) describe how your personal information is used by Integer, (3) update your personal information so that it is accurate and up-to-date, (4) terminate processing of your personal information, (4) transfer your personal information to a third party, (5) delete any or all of your personal information, or (5) take any other action with respect to your personal information.  You can make a request pursuant to this paragraph by notifying Integer as set forth in this policy.  

CALIFORNIA RIGHTS

Integer’s Privacy Disclosures for California Residents

These disclosures supplement certain privacy policies adopted by Integer Holdings Corporation, a Delaware corporation, and affiliated companies (collectively, “Integer”) that can either be found at www.integer.net (the “Site”) or, if applicable to you, received upon request (collectively, the “Policies”).  They are provided pursuant to the California Consumer Privacy Act, as amended by the California Privacy Rights Act, (including all regulations promulgated under such acts, the “California Laws”) and apply only to residents of California.  Each capitalized term used, but not defined, in these disclosures shall have the meaning given to such term in the California Laws.

Definitions

Capitalized terms shall have the same meaning as the terms defined in the Policy.  In addition, in these Disclosures:

(a)California Information” means all Personal Information that relates to residents of California and that is covered by the California Consumer Privacy Act (as amended by the California Privacy Rights Act or otherwise), the California Online Privacy Protection Act, or any other applicable California privacy or data protection law, including any amendments thereto (collectively, the “California Laws”).

(b)Cross-Context Behavioral Advertising” means the targeting of advertising to a consumer based on the consumer’s California Information obtained from the consumer’s activity across businesses, distinctly-branded websites, applications, or services, other than the business, distinctly-branded website, application, or service with which the consumer intentionally interacts. 

(c)Sensitive Personal Information” means all (i) California Information that reveals (A) a California resident’s social security, driver’s license, state identification card, or passport number; (B) a California resident’s account log-in, financial account, debit card, or credit card number in combination with any required security or access code, password, or credentials allowing access to an account; (C) a California resident’s precise geolocation; (D) a California resident’s racial or ethnic origin, religious or philosophical beliefs, or union membership; (E) the contents of a California resident’s mail, email and text messages, unless Integer is the intended recipient of the communication; (F) a California resident’s genetic data; and (2) (A) the processing of biometric information for the purpose of uniquely identifying a California resident; (B) California Information collected and analyzed concerning a California resident’s health; or (C) California Information collected and analyzed concerning a California resident’s sex life or sexual orientation; Sensitive Personal Information that is “publicly available” pursuant to the California Laws is not considered Sensitive Personal Information or California Information.

(d) Share,” “Shared,” or “Sharing” means sharing, renting, releasing, disclosing, disseminating, making available, transferring, or otherwise communicating orally, in writing, or by electronic or other means, a consumer’s California Information, including California Information, by Integer to a third party for cross-context behavioral advertising, whether or not for monetary or other valuable consideration, including transactions between a business and a third party for Cross-Context Behavioral Advertising for the benefit of a business in which no money is exchanged.

Integer will only collect, use or disclose Sensitive Personal Information: (1) to provide the services or benefits expected by an average consumer; (2) to prevent, detect and investigate security incidents that compromise the availability, integrity or confidentiality of stored or transmitted California Information to the extent the use of your California Information is reasonably necessary and proportionate for these purposes; (3) to resist malicious, deceptive, fraudulent or illegal actions directed at the business and to prosecute those responsible for those actions, to the extent the use of your California Information is reasonably necessary and proportionate for these purposes; (4) to ensure the physical safety of natural persons, to the extent the use of your California Information is reasonably necessary and proportionate for these purposes; (5) for short-term, transient use, including, but not limited to, non-personal advertising shown as part of a consumer’s current interaction with the business, provided that the California Information is not disclosed to another third party and is not used to build a profile about the consumer or otherwise alter the consumer’s experience outside the current interaction with the business; (6) to perform services on behalf of the business, provided that the use of the consumer’s California Information is reasonably necessary and proportionate for this purpose; and (7) to verify or maintain the quality or safety of a produce, service or device that is owned, manufactured for, or controlled by the business, and to improve, upgrade, or enhance the service or device that is owned, manufactured by, manufactured for, or controlled by the business, provided that the use of the consumer’s California Information is reasonably necessary and proportionate for this purpose.

Retention of California Information
Integer keeps California Information as long as it is needed to provide our products, comply with legal obligations or protect our interests. We decide how long we need information on a case-by-case basis. The following factors are taken into consideration when making such a determination:

  • If Integer needs the California Information to operate or to provide our products.
  • The amount, nature, and sensitivity of the California Information.
  • The feature we use it for, and how that feature works.
  • How long we need to retain the California Information to comply with certain legal obligations.
  • If we need it for other legitimate purposes, such as to prevent harm; investigate possible violations of our terms or policies; promote safety, security and integrity; or to protect Integer and its employees, including protection of rights, property or commercial interests.

Summary of Consumers' Rights

The following is a summary of a Consumer’s rights under the CCPA, including any amendments thereto:

Right to Know Specific Information
You have the right to request that Integer disclose certain information to you regarding your California Information collected by Integer in the preceding 12 month period or, if requested and the data was collected on or after January 1, 2022, beyond the 12 month period, as long as doing so does not prove impossible or involve disproportionate effort on Integer. Specifically, you have the right to request the following:

  • The categories of California Information collected about you;
  • The categories of sources from which the California Information was collected;
  • Integer’s business or commercial purpose for collecting your California Information or, if applicable, disclosing, selling or Sharing your California Information;
  • The categories of third parties to whom Integer discloses, sells or Shares your California Information; and
  • The specific pieces of California Information collected about you.

Right to Delete Information
You may request that Integer delete any of your California Information retained by it, subject to certain exceptions. Upon receiving and confirming your California Request (as defined below), Integer will delete (and direct its Contractors and Service Providers to delete) such California Information from Integer’s (or such Contractors’ or Service Providers’) records, except that Integer may deny your request if retaining the California Information is necessary for Integer or one of its Contractors or Service Providers to:

  • Complete the transaction for which Integer collected the California Information, provide requested products and services, take actions reasonably anticipated within the context of Integer’s ongoing business relationship with you, or otherwise perform a contract between Integer and you;
  • Detect security incidents, protect against malicious, deceptive, fraudulent, or illegal activity, or prosecute those responsible for such activity;
  • Debug products to identify and repair errors that impair intended functionality; 
  • Exercise free speech, ensure the right of another Consumer to exercise his or her free speech rights, or exercise another right provided by law; 
  • Comply with the California Electronic Privacy Act (Cal. Penal Code § 1546 et. seq.); 
  • Enable solely internal uses that are reasonably aligned with Consumer expectations based on a Consumer’s relationship with Integer;
  • Maintain internal records reasonably required for audits by external and internal auditors (including, but not limited to, accountants, banks and other financial institutions, and government authorities); 
  • Comply with a legal obligation; and
  • Make other internal and lawful uses of California Information that are compatible with the context in which the California Information was provided.

Right to Correct Information 
You may request that Integer correct your California Information if it is inaccurate, taking into account the nature of the California Information and the purposes of the processing of the California Information. Upon receiving your California Request, Integer will use commercially reasonable efforts to correct your California Information.

Right to Non-Discrimination
Integer will not discriminate against a Consumer for exercising any rights under the CCPA, as amended. In particular, if a Consumer exercises any such rights, Integer will not:

  • Deny goods or services to a Consumer;
  • Charge a Consumer different prices or rates for products or services, including through granting discounts or other benefits, or imposing penalties;
  • Provide a Consumer a different level or quality of products or services; or 
  • Suggest that a Consumer may receive a different price or rate for products or services, or a different level or quality of products or services.

However, Integer may offer a Consumer certain financial incentives permitted by the CCPA that can result in different prices, rates, or quality levels. Any such financial incentives offered by Integer will reasonably relate to the value of California Information, and contain written terms that describe the material aspects of such financial incentives. A Consumer’s prior opt-in consent, which may be revoked at any time, is required before the Consumer obtains such financial incentives.

Verifiable Consumer Requests
To exercise your rights described in these disclosures and the Policy, you must submit a verifiable consumer request (a “California Request”) to Integer as set forth in the Contact Information Section of the Policy. Only you, or an agent registered with the California Secretary of State that you authorize to act on your behalf, may make a California Request relating to your California Information. You may also make a California Request on behalf of your minor child.

The California Request must:

  • Provide sufficient information that allows Integer to reasonably determine you are the person about whom Integer collected California Information or an authorized representative.
  • Describe your request with sufficient detail that allows Integer to properly understand, evaluate, and respond to it.

Integer cannot respond to a request or provide California Information if it cannot verify your identity or the individual’s authority to make the request on your behalf unless it can confirm that the California Information relates to you. Integer will only use California Information provided in a California Request to verify the requestor’s identity or authority to make the request.

Integer’s Response 
Integer endeavors to respond to a California Request within 45 days of its receipt. If Integer requires more time (up to an additional 45 days), we will inform you of the reason and extension period in writing. Integer will deliver its written response by mail or electronically, at your option. Any disclosures provided by Integer will only cover the 12-month period preceding receipt of the verifiable consumer request. However, if the California Information was collected on or after January 1, 2022, and your request is for longer than the 12-month preceding period, Integer will disclose the data requested, as long as doing so does not prove impossible or involve disproportionate effort to Integer. The response provided by Integer will, if applicable, also explain the reasons Integer cannot comply with a request. For data portability requests, Integer will select a format to provide your California Information that is readily useable and should allow you to electronically transmit the information from one entity to another entity without hindrance.

Integer does not charge a fee to process or respond to your California Request unless it is excessive, repetitive, or manifestly unfounded. If Integer determines that your request warrants a fee, Integer will tell you why a fee is warranted and provide you with a cost estimate before completing the request. 

Revisions to These Disclosures

Integer may revise these disclosures from time to time by posting the revisions on the Site. Any such revision will take effect immediately upon such posting, but will only relate to California Information collected after such revision is posted. It is a Consumer’s responsibility to periodically check the Site for revisions to these disclosures.

COMPLAINTS

If you have any complaints regarding Integer’s use of your personal information or otherwise relating to this policy, you should immediately contact Integer as set forth in this policy. You may also notify the Information Commissioner’s Office, the data protection authority or other similar agency in the applicable jurisdiction of any such complaint.

In addition, except as provided otherwise in any applicable law, any complaint by you regarding your personal information, or otherwise relating to this policy, shall first be submitted to Integer as set forth in this policy, and Integer shall be given a reasonable opportunity of not less than 45 days to investigate and respond to your complaint. Upon Integer’s completing such investigation and so responding, Integer and you must then attempt, in good faith, to promptly resolve any remaining aspects of your complaint. If any aspect of your complaint remains unresolved after an additional reasonable period of time of not less than 45 days, you may commence litigation against Integer, or exercise any other right or remedy, in connection with the unresolved portion of your complaint only in a court located in Dallas County, Dallas, Texas, and having subject matter jurisdiction over your complaint. You consent to any such court’s being a proper venue for your complaint, and waive any objection thereto based on inconvenience. 

CHILDREN

The Website is not intended for children under 13 years of age. However, if a parent or guardian of a child who is under 13 years of age discovers that any personal information of the child has been submitted to Integer through the Website without the parent’s or guardian’s consent, Integer will use commercially reasonable efforts to remove such personal information from the Website and Integer’s servers, whether self-hosted or hosted by a third party, at the parent’s or guardian’s request. To request the removal of personal information of a child under 13 years of age, the parent or guardian must contact Integer as set forth in this policy, and provide all information requested by Integer to assist it in identifying the personal information to be removed.

THIRD-PARTY WEBSITES

This policy applies only to the Website. The Website may contain links to other websites, which may have their own privacy policies or practices. Integer is only responsible for personal information collected through your authorized use of the Website or otherwise in the ordinary course of its business, and has no responsibility for such other websites. You should check the policies or practices of such other websites before submitting any personal information to, or using, such other websites.

EXPENSES

Except as provided in this policy or any applicable law, you are solely responsible for all fees and disbursements of any attorney or other advisor retained by you in connection with enforcing your rights under this policy. 

SEVERABILITY
